Tektronix snags Arbor; Veraz merges with Dialogic
Tektronix is set to acquire Arbor Networks, with a close date expected in September, while Veraz Networks has filed a definitive proxy statement with the Securities and Exchange Commission for the proposed merger with Dialogic Corp.
In May, Tektronix acquired Mixed Signals , which provides digital content monitoring services.
Tektronix develops communications test and network intelligence solutions, and Arbor Networks provides network security and management solutions.
Arbor, headquartered in Chelmsford, Mass., gives mobile and fixed-line operators, cable and DSL providers, ISPs and other cloud-based infrastructure and service providers solutions for the detection and mitigation of network security threats.
"Arbor further strengthens Tektronix Communications with the ability to offer their customers best-in-class network IP software security and management solutions, along with differentiated, revenue-generating managed security services," said Colin Doherty, CEO of Arbor Networks.
Veraz, meanwhile, offers bandwidth optimization and next-generation switching products, and privately held Dialogic offers technologies that enable the delivery of mobile, video, IP and TDM technologies.
Under the terms of the proposed transaction, approved by each company's board of directors and subject to approval by Veraz and Dialogic shareholders, Veraz will issue shares of its common stock to each Dialogic shareholder so that following the closing of the transaction, Dialogic shareholders will own approximately 70 percent and Veraz shareholders will own approximately 30 percent of the merged company.
The merged company will be named Dialogic and will be led by Nick Jensen as chairman of the board and CEO and Doug Sabella as president and COO. Jensen is currently Dialogic's president and CEO and chairman of the board, and Sabella is currently president and CEO of Veraz.
On a pro forma basis for the year ended Dec. 31, 2009, total revenues were $251.4 million for the merged company.
