OpenTV Corp., which provides software and technology solutions for advanced digital television, said today that it received a non-binding proposal from Kudelski SA to acquire all of the Class A ordinary shares of the company that are not currently owned by Kudelski or its affiliates.
The proposed purchase price, according to OpenTV, is $1.35 per share in cash. OpenTV said that its board of directors will meet to consider the proposal, and that the company "does not intend to comment further at this time."
In January 2007, Kudelski Group closed a deal to acquire a controlling interest in OpenTV (story here).
Kudelski Group provides digital security and convergent media solutions for the delivery of digital and interactive content.
Nagravision, a Kudelski Group company, is a supplier of open conditional access systems (CASs), digital rights management (DRM) and integrated on-demand solutions for content providers and digital TV operators over broadcast, broadband and mobile platforms.
