Cablevision Systems shed some light on the structure for its coming spin-off of the MSO's satellite, programming and movie theater businesses.

The new company, to operate separately under the Rainbow Media Enterprises Inc. umbrella, will be comprised of the three following divisions: Rainbow DBS, which includes the VOOM service; Rainbow Programming, which includes AMC, WE: Women's Entertainment, IFC and IFC's programming properties, the 21 VOOM HD channels, Mag Rack, sportskool, World Picks and other VOD programming services; and Rainbow Movies, the corporate moniker for the theater group that will continue to do business as Clearview Cinemas.

Lightpath, Madison Square Garden and its teams, Radio City Music Hall, fuse, News 12, Metro Channels and certain other businesses will remain with Cablevision following the spin-off.

Thomas Dolan, currently a board member, executive vice president and chief information officer of Cablevision, has been tapped to serve as Rainbow Media Enterprise's CEO.
